Legal structuring, negotiation of legal contracts, transaction execution and management, and other aspects in relation to the closing and syndicating of real estate debt transactions across EMEA

Job Background/context:

This role sits within the Commercial Real Estate Finance business team for EMEA

Key Responsibilities:

  • In-Business seat and role, within the Business team (with direct reporting into a senior Transaction Execution specialist) not Internal Legal
  • Assist senior and junior transactors in transaction document negotiation
  • Assist in the review of legal and structuring due diligence
  • Assist with preparation of credit memos and presentation of legal and structural aspects to credit committee.
  • Assist in discussions with client counterparts and advisers
  • Assist with syndication queries, transfer documentation and execution
  • Assisting with the drafting of short and long form term sheets
  • Interface with internal Legal team regarding business related legal risks
  • Involvement in syndication workstreams
  • Involvement in other ad hoc workstreams

Development Value:

The role will provide a wide range of deal-making experience related to real estate finance, including balance sheet loans, syndicated loans, senior/mezzanine structures, intercreditor arrangements, warehouse financing, master repo facilities, loan on loan facilities, securitization including risk retention, and take-private / corporate special situations. The role will also provide a high level of exposure to strategic global players in the industry and leading European law firms and will involve direct negotiation with Citi’s clients and counterparties.

Knowledge/Experience:

Mid-level associate experience (c. 3-4 PQE) in a banking or capital markets team of a silver/magic circle law firm with Lender-side experience on commercial real estate finance transactions.

Skills:

  • Experience in European structured credit / real estate finance transactions
  • Strong computing and numeracy skills required
  • Strong interpersonal and communication (written and spoken) skills
  • Self-motivated and a strong work ethic
  • Ability to multi-task and meet short deadlines
  • Ability to manage stressful situations and heated discussions in a calm, professional, diplomatic and focused manner

Qualifications:

University degree or similar, and above including requisite legal specific qualifications (i.e. LPC) and current Practicing Certificate
