Job Description
The Corporate and Strategic Equities business is part of J.P. Morgan’s Markets line of business, within its Commercial & Investment Bank. It covers a wide range of products and situations in the equities markets, from financing significant positions in shares, to helping clients gain strategic exposure to issuers using a variety of equity derivatives. The legal team supports that business in executing transactions by providing trusted advice on legal, regulatory and commercial issues and drafting and negotiating documentation in a variety of formats.
The role is both highly transactional and technically challenging, covering clients across the Europe, Middle East and Africa (EMEA) region as part of a wider global legal team. The breadth and complexity of the business and the issues that arise require a deep knowledge of both regulatory and product-related issues across geographies, as well as the ability to critically identify, analyse, explain and mitigate legal risks.
As a Vice President and Assistant General Counsel in the EMEA Corporate Equities Legal team you will be an enthusiastic, driven lawyer with equity derivatives or margin loan experience and a solutions-based mindset who is looking to work on complex, innovative matters within a collaborative environment.
Job responsibilities:
- Provide expert legal and regulatory support to the business, from inception to transaction close.
- Draft, review, and negotiate complex transaction documentation, collaborating with external counsel when required.
- Identify and address legal, regulatory, and commercial risks.
- Liaise with legal colleagues in other jurisdictions on cross-border transactions and with other internal risk and control teams.
- Advise on regulatory changes and drive process improvements across coverage areas.
Required qualifications, skills and capabilities:
- Licensed to practice law in England & Wales or a similar jurisdiction
- Solid PQE with experience in derivatives, excellent drafting skills and a familiarity with ISDA documentation and ideally LMA-style margin loans
- Ability to critically analyse complex structures and situations, demonstrating good judgement and proactive risk management.
- Strong organisational and communication skills.
